Any unauthorized access, disclosure, loss, or compromise of Client Data or Products.

Products:

Items provided by the client for repackaging and/or shipping. 

1. Services Provided 

We provide: 

  • Repackaging: Inspecting and repacking Products per Client specifications and E-commerce Platform standards. 

  • Labeling: Applying required barcodes and labels. 

  • Kitting: Assembling multiple Products into single units. 

  • Shipping Preparation: Preparing Products for delivery to E-commerce Platforms or customers. 

Standard processing time is 24–48 hours from Product receipt. Expedited processing is available for an additional fee. We aim for high-quality packaging and inspect Products upon receipt, reporting discrepancies within 24 hours. 

 

2. Client Responsibilities 

You must: 

  • Provide accurate and complete Product information and E-commerce Platform requirements. 

  • Ensure Products comply with all applicable laws and regulations. 

  • Pay for Services promptly. 

  • Ensure Products are in suitable condition for repackaging. We are not liable for defects in Products you provide. 

 

3. Our Responsibilities 

We will: 

  • Handle Products with care and process them according to your specifications and E-commerce Platform standards. 

  • Provide clear pricing. 

  • Notify you of any issues (e.g., defective Products) within 48 hours. 

  • Stay informed of the latest E-commerce Platform requirements. 

 

4. Payment Terms 

Invoices are typically issued upon Service completion and are due within 7 days. A late fee may apply to overdue balances, and Services may be suspended for non-payment. Refunds are only issued for Services not rendered due to our error. 

 

5. E-commerce Platform Compliance 

For Products destined for E-commerce Platforms, we ensure compliance with their requirements (e.g., box dimensions, weight, scannable barcodes, carrier coordination). 

You must provide accurate platform-specific instructions. We are not liable for penalties or rejections due to incorrect instructions from you. Costs for correcting non-compliant Products will be charged to you. 

 

6. Intellectual Property Protection 

Your information, such as packaging designs or Product specifications, is treated as confidential. We will not disclose or use it for any purpose other than fulfilling Services without your written consent. You retain full ownership of your intellectual property. Our staff are bound by non-disclosure agreements. 

 

7. Limitation of Liability 

We are not liable for damages or losses caused by factors beyond our control, including carrier delays, inaccurate information from you, or unforeseen events. Claims must be submitted within 7 days of Service completion. 

 

8. Termination 

Either party may terminate this agreement with 30 days’ written notice. We may suspend Services immediately for non-payment or violation of these terms. Upon termination, Products in our possession will be returned to you at your expense. 

 

9. Dispute Resolution 

You must notify us of any issues within 7 days of Service completion. Disputes will be resolved through good-faith negotiations. Unresolved disputes will be governed by the laws of the State of New Jersey. Claims must be filed within 30 days of the issue arising.
